BioGenisys Affiliate Program 2.1 — Terms & Compliance Agreement

This Agreement is between BioGenisys LLC ("BioGenisys," "we," "us") and each approved affiliate ("Affiliate," "you"). Affiliates accept it in the Affiliate Dashboard, and acceptance is required before any commissions are paid.

1. Program Overview

The BioGenisys Affiliate Program allows approved affiliates to earn commissions by referring qualified purchasers to biogenisysco.com using a unique referral code or referral link. A customer is linked to you for the life of their account when their first paid order is placed with your code, or when, with no earlier paid order and no link to another affiliate, they create an account or sign in within 90 days of opening your referral link on the same device. If they open more than one affiliate's link, the most recent one counts. You earn commission on that order and on every later paid order the linked customer places, whether they use your code, another discount, or no code. If a linked customer places an order with another affiliate's code, that order is credited to the other affiliate and the customer stays linked to you. Customers are identified by their account or, for guest checkout, their email address.

2. Eligibility

You must be at least 21 years of age, provide accurate contact and payment information, and keep it current. You must have a genuine audience; purchased followers or engagement are not permitted. You may not present yourself as a physician or other healthcare professional when promoting BioGenisys, and you may not be subject to any current enforcement action by the FTC, FDA or a comparable regulator. One affiliate account per person. Affiliates may not use customer referral codes. BioGenisys may approve, decline, or revoke program participation at its sole discretion.

3. Independent Contractor Status

You are an independent contractor. Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship. You are solely responsible for your own taxes on commission income. BioGenisys will issue tax documentation (e.g., IRS Form 1099) where required by law and may request tax information from you where the law requires it.

4. Commission Structure

Rates as of October 16, 2026 (previously 5%, 8%, 11% and 15%); the new rates apply to sales credited from that date. Commission base: order subtotal minus any discounts. Taxes and shipping are excluded. Tier upgrades apply automatically once the threshold is reached; the upgraded rate applies to sales credited after the upgrade, not retroactively. Commissions accrue when the referred order's payment is confirmed.

New-customer bonus: you earn a one-time bonus of $25 for each new customer whose first paid order is placed with your code or who is linked to you through your referral link, when that order totals $100 or more after discounts. A new customer is one with no earlier paid order on the same account, email address, phone number or shipping address. The bonus is paid with the commission on that order, under the same payout choice, and does not count toward tier sales. Orders placed by you, on your own account or email address, never earn the bonus and never link a customer to you. Commission on later orders from a linked customer is paid at your tier rate on the date of each order.

5. Payouts

Commission is paid by bank transfer on the 1st of each month once your balance meets or exceeds your tier's payout threshold. BioGenisys may withhold or delay payout of any commission under review for compliance or fraud concerns until the review is resolved. Commissions on orders that are refunded, charged back, or cancelled are reversed and deducted from your balance. You may instead choose in your Affiliate Dashboard to receive commission as BioGenisys store credit worth 1.25 times the commission, added when each referred order ships; you may switch between bank transfer and store credit at any time: switching to store credit moves commission you are owed to store credit on the same basis, and switching back to bank transfer moves unused commission credit back to your bank transfer balance at the same rate; bank transfers are paid once your balance meets your payout threshold; store credit has no cash value of its own, does not expire, and credit for a reversed commission is removed.

6. Marketing & Compliance Requirements (Research Use Only)

All BioGenisys products are sold strictly for laboratory research use only ("RUO"). As an Affiliate, you agree that you will:

• Never market, describe, or imply that BioGenisys products are for human or veterinary use, consumption, or treatment of any condition.
• Never make medical, therapeutic, dosage, weight-loss, performance, anti-aging, or health-benefit claims about any product.
• Never provide usage instructions, protocols, or dosing guidance of any kind.
• Never remove or contradict BioGenisys's research-use-only disclaimers.
• Clearly disclose your material connection to BioGenisys (e.g., "I earn a commission from this code") in accordance with FTC Endorsement Guides, 16 C.F.R. Part 255.
• Not engage in spam, misleading advertising, trademark bidding on "BioGenisys" or confusingly similar terms, cookie stuffing, forced clicks, or deceptive purchases through your own code.
• Not bid on "BioGenisys", "biogenisysco" or any misspelling or confusingly similar term in paid search.
• Not create accounts, pages, handles or domains that use the BioGenisys name or could be mistaken for BioGenisys.
• Not post your code on coupon or deal sites, or run paid ads using the BioGenisys name, without written approval.
• Not direct content at anyone under 21, or post where your audience is mostly under 21.
• Not use music, film, television or other media you do not have the rights to.
• Submit content for review before posting when BioGenisys asks.
• Not represent yourself as an employee, officer, or authorized spokesperson of BioGenisys.
• Comply with all applicable federal, state, and local laws in your marketing activity.

Violation of this Section is grounds for immediate termination and forfeiture of unpaid commissions.

7. Self-Referrals

Your referral code is intended for third-party purchasers. Orders that appear to be placed by you or on your own behalf using your own code may be flagged and held for review. BioGenisys reviews flagged orders case by case and may decline commission on confirmed self-referrals. Flagging alone is not a determination of wrongdoing.

8. Fraud & Abuse

BioGenisys may withhold commissions and/or terminate participation for fraudulent orders, payment abuse, manipulation of the attribution system, creation of multiple affiliate accounts, or any activity intended to generate commissions not resulting from genuine third-party referrals.

9. Term & Termination

Either party may terminate participation at any time, with or without cause, by written notice (email suffices). Upon termination for convenience, earned and unreversed commissions above your payout threshold will be paid in the normal cycle. Upon termination for cause (Sections 6–8), unpaid commissions are forfeited. Content that breaks Section 6 must be removed on request, and no commission is paid on orders traced to non-compliant content. Sections 3, 6, 10, 11, 12, 13 and 14 survive termination.

10. Your Content

You keep ownership of the content you create. You grant BioGenisys a non-exclusive, royalty-free license to reshare your posts about BioGenisys with credit to you, on BioGenisys channels, during your participation and for 12 months after. BioGenisys will run your content as a paid or partnership advertisement only with your separate written consent.

11. Responsibility & Indemnification

You are solely responsible for all content, statements, advertising and communications you publish or send about BioGenisys. You agree to indemnify and hold harmless BioGenisys LLC and its members from claims, losses, costs (including reasonable attorneys' fees) and regulatory actions arising from your content or conduct, or your breach of this Agreement.

12. Intellectual Property

BioGenisys grants you a limited, revocable, non-exclusive license to use its name, logo, and approved product images solely to promote the program during your participation. All goodwill inures to BioGenisys. This license ends immediately upon termination.

13. Disclaimer & Limitation of Liability

The program is provided "as is." BioGenisys does not guarantee any level of earnings. To the maximum extent permitted by law, BioGenisys's total liability under this Agreement is limited to the unpaid commissions properly owed to you at the time a claim arises. BioGenisys is not liable for indirect, incidental, or consequential damages.

14. General

Modification: BioGenisys may change commission rates or program rules with 30 days' notice by email or in the Affiliate Dashboard. Commission already earned keeps the rate at which it was earned. Continued participation after the effective date of changes constitutes acceptance. Affiliates who accepted Program 2.0 move to this version on its effective date under this clause. Governing law: Commonwealth of Virginia, without regard to conflict-of-law rules. Entire agreement: this Agreement supersedes all prior affiliate terms, including Programs 1.0 and 2.0. Assignment: you may not assign this Agreement without BioGenisys's written consent.
